General Counsel (Finance)
ESSENTIAL JOB FUNCTIONS:
• Provides legal counsel to corporate and project management, to include subsidiaries, joint ventures and partnerships, in all legal matters, with special emphasis on government contracts law, employment, workers compensation and general corporate issues.
• Provide counsel in business development matters, including risk assessment of Requests for Proposals, preparation and review of contractual documents, and participation in government debriefings.
• Provides counsel in business matters, including the review and negotiation of strategic alliance agreements, joint ventures, and other business relationships.
• Provides support for filings and communications with respect to S.E.C. as may be required.
• Develops budget recommendations to support systematically planned programs of legal actions or defenses and establishes controls to assure optimum deployment of resources within approved budgets.
• Provides counsel to all projects on issues of contract performance.
• Provides counsel on contract close-out matters, including winding down strategic alliances.
• Manages litigation, including protests, appeals, claims, ADR and other proceedings, in all areas, including government contracts and employment. May be called upon to participate in hands-on litigation.
• Negotiates the resolution of disputes.
• Prepare and present verbal and written reports.
• Develops a professionally competent staff.
• Keeps fully informed of all new developments in corporate legal matters and keeps all levels of management informed of applicable new laws and or the process and results of pertinent court cases.
• Participates in the selection of outside counsel. Monitors and evaluates outside counsel activities.
• Provide support and implementation of the Business Operating System and Performance Management Program at project sites.
EDUCATION & EXPERIENCE:
Juris Doctorate Degree and Membership in good standing of the Bar of any state and eligible to be admitted as a member of Florida or Virginia Bar under respective in-house registrations (Florida Authorized House Counsel; Virginia Corporate Counsel Registrant).
• 15+ years of practice in the field as a Government Contractor.
• 10 years of Corporate Governance and experience with complex litigation
• 5 years Managing other attorneys and supervising support staff in a corporate environment
• 5 years Practicing attorney with focus on federal contracting or related
• Knowledge and experience in International Law and requirements for doing business internationally
• Experience at a national firm, GS-15 or higher level in the Federal Government, or in-house counsel for a major government contractor.
KNOWLEDGE & SKILLS:
• Ability to communicate complex legal issues with precision (written and verbal) and capacity to translate complex legal matters into actionable layman terms, actions or briefs as necessary.
• Substantive knowledge in one or more of the following areas of law:
Ø Employment Law
Ø Contract Law
Ø International Law
Ø Corporate Law
• Substantive knowledge of government contracts law, including the U.S. Federal Acquisition Regulation and associated statutes and regulations, UK MoD, NATO, and other government procurement regimes and Cost Accounting Standards.
• Knowledge and experience in international law and requirements for doing business internationally, especially in Europe, the Middle East and Africa, including foreign business registrations
• Knowledge and experience with ITAR, EAR and OFAC, including import/export
• Ability to communicate with precision (written and verbal) and translate complex legal matters into actionable layman terms. Working knowledge of commercial business transactions, litigation and dispute resolution, and investigations
• Possess intellectual curiosity, excellent written and verbal communications skills and ability to apply experience and reliable judgment to legal issues raised in a fast-paced business.
• Self-starter able to handle many legal matters simultaneously who enjoys an ever-changing variety of day-to-day legal and business issues
• Excellent communication, customer service, presentation, interpersonal, negotiation, prioritization and organization skills
TRAVEL: 20%-30% travel within the United States; potential for some foreign travel
